Cypress advised Vibra Energia (SA:VBBR3) in structuring and raising capital for a Real Estate Investment Trust in partnership with Prisma Capital to acquire gas stations owned by Vibra, in the amount of R$644 million.
The operation is unprecedented in the Brazilian market, with national reach, encompassing the investment and professional management of a real estate portfolio comprising of 238 gas stations under the BR Petrobras flag. The transaction is part of Vibra Energia’s property portfolio optimization plan and is in line with the Company’s ESG objectives.
The operation involves a three stage monetization plan: first, with the integration of properties owned by Vibra into the trust and acquisition of shares by Prisma; second, the trust manager will be able to conduct the sale of properties to gas station operators; and finally, the company aims to pursue a public offering of the trust’s shares to the general public to take place as of January 2024.
